Article 1Purpose
These terms govern the payment of a US$100 reservation deposit (the “Deposit”) to Jawudi.Inc, a Delaware corporation (“Jawudi” or the “Company”), by any person wishing to be placed on the priority list for a housing development plan (the “Beneficiary”).
Payment of the Deposit constitutes full and unconditional acceptance of these terms as well as the Company’s General Terms and Conditions (the “GTC”), applicable to all of its services, including those offered on this website. In the event of any conflict, these terms shall prevail with respect to the reservation and the Deposit.
Article 2Nature of the Reservation
2.1The reservation constitutes an expression of interest. It grants the Beneficiary priority access when sales for the relevant plan are opened.
2.2The reservation is neither a promise to sell, nor a promise to purchase, nor a sales contract. It creates no obligation for the Beneficiary to purchase and no obligation for the Company to sell.
2.3The reservation does not hold or reserve any specific housing unit in the Beneficiary’s name. The housing units offered will depend on availability on the date on which sales are opened.
2.4The reservation does not constitute an agreement or promise of financing. Any financing remains subject to the review of the Beneficiary’s application and to the decisions of the Company or its partner financial institutions.
2.5The Deposit does not constitute earnest money, a withdrawal payment, or an investment. It shall not bear any interest, regardless of the length of time it is held by the Company.
Article 3Priority Access
3.1The Beneficiary shall be registered on the priority list for the selected plan upon the effective receipt of the Deposit. Priority among Beneficiaries shall be determined by the date and time of receipt of the Deposit.
3.2Before the public opening of sales, the Company shall inform the Beneficiary, by email sent to the address provided at the time of reservation, of the terms of sale, prices, available housing units, and launch date.
3.3The Beneficiary shall then have a period of 10 days to communicate their choice. If no response is received within this period, the Beneficiary shall lose their priority position but shall retain their right to the refund provided for in Article 5.
3.4The Beneficiary is responsible for keeping their contact details up to date. The Company shall not be held liable for any communication not received due to incorrect or outdated contact details.
Article 4Credit Against the Purchase Price
If the Beneficiary purchases a housing unit in the relevant plan, the US$100 Deposit shall be fully credited against the down payment required for that housing unit. This credit shall apply only to a purchase made within the plan for which the reservation was made, unless otherwise agreed in writing by the Company.
Article 5Refund Guarantee
5.1Refund upon request. The Beneficiary may request a full refund of the Deposit at any time before signing a purchase agreement, without having to provide any justification and without penalty, by writing to hello@jawudi.com from the email address used for the reservation.
5.2Automatic refund. The Deposit shall be refunded in full and automatically, without any action being required from the Beneficiary, in the following cases:
- the Company abandons, suspends for an extended period, or does not launch the relevant plan;
- no housing unit corresponding to the Beneficiary’s request is available when sales open and the Beneficiary does not wish to proceed; and
- the Beneficiary’s financing is refused and the Beneficiary does not wish to proceed.
5.3Refund procedure. The refund shall be made to the payment method used to make the payment, within 15 business days from receipt of the request or occurrence of the event giving rise to the automatic refund. Any processing times imposed by the Beneficiary’s bank or card issuer may be added to this period. If the payment method is no longer valid, the Company shall make the refund through another method agreed with the Beneficiary, following verification of their identity.
5.4Amount. The refund shall cover the full US$100 amount. Any transaction fees charged to the Company shall remain borne by the Company. Any exchange-rate fluctuation or fees charged by the Beneficiary’s bank shall not be the responsibility of the Company.
5.5Payment disputes. The Beneficiary agrees to use the refund procedure provided above before initiating any payment dispute with their bank. A payment dispute initiated in parallel with a refund request may delay the processing of such request.
Article 6Personal Nature of the Reservation
The reservation is nominative and personal. It may not be assigned, transferred, or resold to a third party without the Company’s prior written consent. Only one reservation per person and per plan is permitted, unless otherwise agreed by the Company.
Article 7Right to Refuse and Verification
7.1The Company reserves the right to refuse or cancel a reservation, including in the event of inaccurate information, suspected fraud, abusive use, or failure to comply with legal obligations relating to anti-money laundering and counter-terrorist financing. In such case, the Deposit shall be refunded in accordance with Article 5, unless the law requires the Company to retain it or report the matter to the competent authorities.
7.2The Beneficiary agrees to provide, upon the opening of sales, identification documents and any supporting documentation reasonably requested.
Article 8Changes to the Project
The information presented prior to the opening of sales (plans, visuals, floor areas, indicative prices, and schedule) is provided for information purposes only and may change. Only the terms communicated when sales open and the signed purchase agreement shall be binding on the Company. If such changes are not acceptable to the Beneficiary, the Beneficiary shall retain their right to the full refund provided for in Article 5.
Article 9Limitation of Liability
To the extent permitted by applicable law, the Company’s liability in connection with the reservation shall be limited to the refund of the Deposit amount. The Company shall not be held liable for indirect losses, such as loss of opportunity or changes in real estate market prices.
Article 10Force Majeure
The Company shall not be held liable for any delay or failure resulting from a force majeure event, as defined under applicable law. However, such event shall never deprive the Beneficiary of their right to a refund of the Deposit; only the period provided for in Article 5.3 may be extended for the duration of the impediment.
Article 11Personal Data
The processing of personal data collected in connection with the reservation is governed by the Company’s GTC and Privacy Policy, applicable to all of its services, including those offered through its website, Jawudi.com.
These documents specify, in particular, the purposes of the processing, the methods of collection, storage, retention and sharing of data, as well as the Beneficiary’s rights and the manner in which such rights may be exercised.
Banking details are processed directly by the payment service provider and are not retained by the Company.
Article 12Amendment of the Terms
The Company may amend these terms. Any amendments shall not apply to reservations for which the Deposit has already been received.
Article 13Governing Law and Dispute Resolution
13.1The governing law applicable to these terms, the dispute resolution procedures, and the competent jurisdiction shall be those provided for in the Company’s GTC, applicable to all of its services, including those offered through its website, Jawudi.com.
13.2Before initiating any legal action, the Beneficiary may submit a complaint to hello@jawudi.com in an effort to reach an amicable resolution.
