These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Jawudi, Inc., a Delaware corporation ("Jawudi," "we," "us," or "our"), governing your access to and use of the Jawudi platform, including the website located at jawudi.com, all associated mobile applications, APIs, and services (collectively, the "Platform").
By accessing or using the Platform, creating an account, or clicking "I Agree," you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Refund & Cancellation Policy, each of which is incorporated herein by reference.
If you do not agree to these Terms, you must not access or use the Platform.
Plain language: Using Jawudi means you agree to these rules. If you don't agree, please don't use the platform.
The following terms have specific meanings throughout these Terms:
To use the Platform, you must be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is greater), have the legal capacity to enter into binding contracts, and not be prohibited from using the Platform under any applicable law.
If you are using the Platform on behalf of a legal entity (corporation, partnership, trust, or other organization), you represent and warrant that you have the authority to bind that entity to these Terms.
To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Jawudi immediately of any unauthorized access to or use of your account.
Jawudi reserves the right to suspend or terminate any account that we reasonably believe has been compromised, used fraudulently, or used in violation of these Terms.
Jawudi provides a real estate coordination platform designed to serve the African diaspora investing in land and property in Guinea and West Africa. The Platform offers the following services, which may be expanded or modified from time to time:
Additional services, including but not limited to Jawudi Flex, Jawudi Tontine, and Jawudi Capital, may be offered in the future and will be subject to supplementary terms disclosed at the time of enrollment.
Important: Jawudi is a coordination layer -- not a broker, marketplace, real estate agent, legal advisor, or principal to any property transaction. Understanding this distinction is critical to your use of the Platform.
Jawudi acts as a mandataire (intermediary) within the meaning of the OHADA Uniform Act on General Commercial Law. Jawudi facilitates, coordinates, and verifies -- but does not buy, sell, own, or guarantee any property listed on the Platform.
Jawudi does not guarantee the accuracy, completeness, or legal validity of any property listing, title, survey, valuation, or other information presented on the Platform. While Jawudi conducts field verification and documentation review, these services are intended to reduce -- not eliminate -- the inherent risks of cross-border real estate transactions.
Users are strongly encouraged to engage independent legal counsel and to conduct their own due diligence before entering into any property transaction.
By listing a property on the Platform, Sellers agree to the following obligations, in addition to those set forth in the Master Seller Agreement:
Jawudi Safe is a milestone-gated escrow mechanism. Funds deposited into Jawudi Safe are ring-fenced for construction draws and transaction settlement only. Jawudi Safe deposits are not Jawudi operating capital.
The terms governing refunds and cancellations of Jawudi Safe deposits are set forth in our Refund & Cancellation Policy.
Sellers may be required to pay a Listing Fee equal to 1% of the declared listing price, payable upon submission of the listing. Alternatively, Sellers may waive the Listing Fee by entering into a 90-day binding exclusivity agreement with Jawudi. The choice between these options is presented at the time of listing creation.
The Listing Fee, once paid, is non-refundable, as it compensates Jawudi for property onboarding services including field verification, documentation review, and listing creation. See our Refund & Cancellation Policy for details.
Upon completion of a property transaction facilitated through the Platform, the Seller shall pay Jawudi a Transaction Fee calculated as follows:
Volume tier pricing is determined at the time of execution of the applicable agreement, not at close. The Transaction Fee is earned by Jawudi at the point of execution of a Binding Agreement and is due and payable at close of the transaction.
Fees for additional services (including but not limited to Jawudi Flex, Jawudi Tontine, Jawudi Capital, and property management) will be disclosed to Users at the time of enrollment in those services.
Jawudi maintains a Buyer Protection Fund to provide financial protection to Buyers in the event of Seller default, developer insolvency, or other circumstances in which funds previously disbursed from Jawudi Safe cannot be recovered.
The Platform, including all content, features, functionality, software, code, design, text, graphics, logos, trademarks, and other materials (collectively, "Jawudi Content"), is owned by Jawudi, Inc. or its licensors and is protected by United States and international copyright, trademark, patent, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purpose. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any Jawudi Content without Jawudi's prior written consent.
User Content: You retain ownership of content you submit to the Platform ("User Content"), including property photographs, documents, descriptions, and communications. By submitting User Content, you grant Jawudi a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, display, and distribute your User Content solely in connection with operating and promoting the Platform.
Responsibility: You are solely responsible for your User Content and represent that it does not infringe the intellectual property rights of any third party, contain false or misleading information, or violate any applicable law.
If you believe that content on the Platform infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (17 U.S.C. § 512) to our designated agent:

Your notice must include: identification of the copyrighted work, identification of the infringing material with sufficient detail for Jawudi to locate it, your contact information, a statement of good faith belief that the use is not authorized, a statement under penalty of perjury that your notice is accurate, and your physical or electronic signature.
THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. JAWUDI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
WITHOUT LIMITING THE FOREGOING, JAWUDI DOES NOT WARRANT THAT:
Real estate involves risk. Cross-border real estate transactions in developing markets carry inherent risks including, but not limited to, title disputes, regulatory changes, currency fluctuations, construction delays, and political instability. Jawudi's services are designed to reduce these risks -- not eliminate them.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JAWUDI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO JAWUDI DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE THOUSAND US DOLLARS (US $1,000).
IN NO EVENT SHALL JAWUDI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF OPPORTUNITY, OR DIMINUTION IN PROPERTY VALUE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.
The limitations in this Section apply regardless of whether Jawudi has been advised of the possibility of such damages and regardless of whether any remedy fails of its essential purpose.
Exceptions: Nothing in these Terms excludes or limits Jawudi's liability for death or personal injury caused by its negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law (including applicable EU consumer protection law).
Before initiating any formal dispute resolution proceeding, you agree to first contact Jawudi at legal@jawudi.com and attempt to resolve the dispute informally for a period of at least thirty (30) days.
Any dispute arising from or relating to Jawudi Safe, including disputes regarding milestone verification, fund release, or deposit refunds, shall be submitted to mediation administered in accordance with the ICC Mediation Rules before either party may initiate arbitration. The mediation shall be conducted in English and shall be completed within thirty (30) days of the mediator's appointment, unless the parties agree to an extension.
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, that is not resolved through the informal resolution process or mandatory mediation described above, shall be determined by binding arbitration administered by the International Chamber of Commerce (ICC) in accordance with the ICC Arbitration Rules then in effect.
The seat of arbitration shall be New York, New York, United States. The arbitration shall be conducted in English. The arbitral tribunal shall consist of a single arbitrator. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND JAWUDI AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations.
If you are a resident of the European Union or the European Economic Area, the following additional provisions apply and, to the extent they conflict with other provisions of these Terms, shall take precedence:
Nothing in these Terms shall affect your rights as a consumer under the laws of your EU member state of residence, including but not limited to the EU Consumer Rights Directive (2011/83/EU), the Unfair Contract Terms Directive (93/13/EEC), and the applicable national implementing legislation.
Under the EU Consumer Rights Directive, you may have the right to withdraw from a distance contract within fourteen (14) days without giving any reason. However, by expressly requesting that Jawudi commence the performance of services before the expiration of the withdrawal period (through the explicit waiver checkbox presented at the point of purchase), you acknowledge and agree that you will lose your right of withdrawal once the service has been fully performed.
If you exercise your right of withdrawal before the service has been fully performed, you shall pay Jawudi an amount proportional to the services already provided up to the time you communicated your withdrawal, in comparison with the full coverage of the contract.
The arbitration clause in Section 16 shall not deprive you of the protection afforded by provisions that cannot be derogated from by agreement under the law of your EU member state of habitual residence. You retain the right to bring proceedings in the courts of your member state of habitual residence, in accordance with Regulation (EU) 1215/2012 (Brussels I Recast).
You may also use the European Commission's Online Dispute Resolution (ODR) platform, available at https://ec.europa.eu/consumers/odr.
To the extent any provision of these Terms is found to constitute an unfair term within the meaning of the Unfair Contract Terms Directive (93/13/EEC) or French Code de la consommation (Articles L212-1 et seq.), such provision shall not be binding on you, and the remainder of these Terms shall continue in full force and effect.
Property transactions coordinated through the Platform in the Republic of Guinea are subject to the following additional provisions:
All property-related transactions are governed by the OHADA Uniform Acts, the Guinea Civil Code (1983), and the Code Foncier et Domanial (Ordonnance 92-19/PRG/SGG of March 30, 1992), as applicable.
Jawudi acts as mandataire within the meaning of the OHADA Uniform Act on General Commercial Law. Jawudi is an intermediary facilitating the coordination of transactions and does not act as a principal, broker, or agent with authority to bind Buyers or Sellers.
Users acknowledge that property titles in Guinea may be subject to competing claims, incomplete registration, or state attribution rights under Article 48 of the Code Foncier et Domanial. Jawudi's verification services are designed to identify and disclose known title risks but cannot guarantee the absence of all such risks. Users are advised to engage local legal counsel for independent title review.
Under Article 48 of the Code Foncier et Domanial, the Government of Guinea reserves the right to attribute certain lands for public purposes. Jawudi does not warrant that any listed property is exempt from such attribution, and Sellers are required to disclose any known Article 48 risks in their Listing Instruction.
If you are a California resident, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
By using the Platform, you consent to receiving electronic communications from Jawudi. You agree that all agreements, notices, disclosures, and other communications that Jawudi provides to you electronically satisfy any legal requirement that such communications be in writing.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions, except where overridden by mandatory consumer protection laws of your jurisdiction of residence (including applicable EU member state law).
Jawudi reserves the right to modify these Terms at any time. If we make material changes, we will provide notice through the Platform, by email, or by other reasonable means at least thirty (30) days before the changes take effect.
Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform.
For EU-resident Users, material changes that affect your rights will require your affirmative consent before they take effect.
